Pure intermediation, aligned by design

The cleanest way to remove a conflict of interest is to make it structurally impossible. We broker assets and companies — we never become their owner.

A broker, never a principal

Cezanne Partners is a pure intermediary — a broker of assets and companies. We do not become the owner of the assets at any point, and we run no trading book of our own. That is a deliberate structural choice: because we never hold the assets, we can never be tempted to trade against the party we are advising.

Compensation that tracks the outcome

Our compensation is a success fee plus a retainer, inspired by the standard degressive Lehman scale. The bulk of what we earn arrives only when a deal closes on fair terms — so our incentive and yours point in the same direction. There is no fee that rewards us for a deal that is bad for you, and none that pays out whether or not you transact.

Off balance sheet
We never own the assets — so there is no conflict between our fee and your outcome.

Transparent, aligned, nothing more

Because the model carries no principal position, there is nothing hidden to reconcile. Our incentive is simple: a closed deal on fair terms. Transparent, aligned, and off our own balance sheet — the way intermediation should work.

Key takeaways

  • We broker assets and companies but never take principal risk or own them.
  • Compensation is a success fee plus retainer on a degressive Lehman scale.
  • Never holding the assets removes the conflict between our fee and your outcome.
  • The incentive is a single thing: a closed deal on fair terms.
